MSD Acquisition ^{Priced, Nasdaq: MSDAU}

We are a newly incorporated blank check company. MSDAC was established by our founding partners, Gregg Lemkau and John Phelan, to pursue investment opportunities in companies whose value creation we believe we can accelerate through the public markets. Michael Dell is our Strategic Advisor and will be a resource in our pursuit of an initial business combination. We will focus on companies in high-growth sectors, with large and growing end markets, superior unit economics, and sustainable competitive advantages. While we may pursue an investment in any business industry or sector, we plan to leverage our deal experience, investment track record, and expertise across various high-growth sectors, including technology and media. We believe the combination of our affiliation with MSD Partners, the experience and network of our Founders, management team and Strategic Advisor, and the access to our board members’ expertise will be attractive to potential target businesses and will enable us to identify and execute a successful business combination. MSDAC is affiliated with MSD Partners, an investment adviser registered with the Securities and Exchange Commission under the Investment Advisers Act of 1940, as amended, which was established in 2009, by partners of MSD Capital.
